Terms of Service
The agreement governing subscriptions, billing, accounts, acceptable use, refunds, termination, and liability for the Tripistic platform.

These Terms of Service ("Terms") govern your access to and use of the Tripistic platform, website, customer portal, embeddable widgets, and API (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you accept them on behalf of a company, you confirm you have authority to bind that company.
1. The Service
Tripistic provides a multi-tenant travel operations platform including bookings, CRM, tours, workforce scheduling, vehicles, live operations, payments, automation, analytics, AI features, white label branding, custom domains, and a customer portal. Features vary by plan.
We may improve, change, or deprecate features. For changes that materially reduce core functionality on a paid plan, we will give at least 30 days' notice to account administrators.
2. Accounts
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your workspace, including that of members you invite.
- You must safeguard credentials and notify us promptly at security@tripistic.com of suspected unauthorised access.
- Workspace owners control roles, permissions, invitations, and member removal.
- One person may not share a single named seat with others.
3. Subscriptions and trials
- Plans are offered on monthly or annual terms. Annual terms are billed up front and discounted.
- Free trials, where offered, run for the stated period and convert to a paid subscription unless cancelled before the trial ends.
- Subscriptions renew automatically for successive terms until cancelled.
- You may cancel renewal at any time from billing settings; cancellation takes effect at the end of the current term.
- Seat, workspace, and usage limits are defined by your plan. Exceeding them may require an upgrade.
4. Billing and taxes
- Fees are stated in US dollars unless agreed otherwise, and are processed by Stripe.
- Charges are due on the billing date for the applicable term.
- Prices exclude taxes. You are responsible for VAT, GST, sales tax, and similar charges, except taxes on our net income.
- Upgrades take effect immediately with a prorated charge. Downgrades take effect at the next renewal.
- If a payment fails, we may retry, restrict access, or suspend the workspace after notice.
- Enterprise customers may be invoiced under an order form with net payment terms.
5. Payments you collect from travellers
Tripistic is not a merchant of record for your bookings. You collect traveller payments through your own connected Stripe account and remain solely responsible for pricing, taxes, chargebacks, refunds to travellers, consumer disclosures, and the delivery of the travel services you sell.
6. Your content and data
You retain all rights in the data you and your travellers submit ("Customer Data"). You grant us a limited licence to host, process, transmit, back up, and display Customer Data solely to provide and support the Service.
You represent that you have the lawful basis and consents required to upload traveller, participant, guardian, guide, and driver data, and to send the notifications you configure.
Where we process Customer Data containing personal data on your behalf, our Data Processing Agreement applies and forms part of these Terms.
7. AI features
AI features generate suggestions — itineraries, pricing ideas, business insights, summaries, and search answers. Output can be incomplete or wrong. You must review AI output before relying on it, sending it to travellers, or making commercial decisions. You are responsible for the accuracy of anything you publish. Workspace administrators choose which AI provider is configured and accept that provider's processing terms.
8. Restrictions
You must not:
- Resell, sublicense, or provide the Service to third parties except under an authorised white-label or reseller arrangement.
- Reverse engineer, decompile, or attempt to derive source code, except where that right cannot lawfully be excluded.
- Circumvent rate limits, quotas, authentication, tenancy isolation, or security controls.
- Use the Service to send unsolicited bulk messages or to process data you have no right to process.
- Upload malware, or use the Service to build a competing product by systematic extraction of its interfaces.
- Use the Service in breach of the Acceptable Use Policy, which forms part of these Terms.
9. Intellectual property
Tripistic and its licensors own the Service, including the software, interfaces, documentation, and brand. No rights are granted other than the subscription rights in these Terms and the License Agreement. Feedback you send us may be used without obligation, and does not transfer rights in your Customer Data.
10. Third-party services
The Service integrates with third parties including Stripe, Google Maps, Google Calendar, Twilio, WhatsApp, OpenAI, OpenRouter, Cloudflare, n8n, and Zapier. Your use of those services is governed by their terms. We are not responsible for third-party availability or acts.
11. Service levels and support
Support channels and target response times are described in our Service Level Agreement. Availability commitments and service credits apply to eligible paid plans as set out in that document.
12. Refunds
Refund eligibility is described in the Refund Policy. Except as stated there or as required by law, fees are non-refundable and payments are not offset against future terms.
13. Suspension and termination
- You may terminate by cancelling your subscription and closing your workspace.
- We may suspend or terminate for material breach, non-payment, security risk, or unlawful use. Where practical we give notice and a chance to cure.
- On termination, access ends and Customer Data is available for export for 30 days, after which it is deleted in line with our retention schedule.
- Provisions that should survive termination — fees owed, IP, confidentiality, disclaimers, limitation of liability, and dispute resolution — survive.
14. Warranties and disclaimers
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that AI output will be accurate.
15. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data.
- Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim.
- These limits do not apply to death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.
16. Indemnity
You will defend and indemnify Tripistic against third-party claims arising from your Customer Data, your travel services, your use of the Service in breach of these Terms, or your breach of applicable law.
17. Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms.
18. Changes to these Terms
We may update these Terms. Material changes take effect 30 days after we post them or notify administrators, whichever is later. Continued use after that date constitutes acceptance.
19. Governing law and disputes
These Terms are governed by the laws of the jurisdiction stated in your order form, or, absent an order form, the jurisdiction in which Tripistic is established. The parties will attempt good-faith resolution for 30 days before commencing proceedings. Nothing prevents either party from seeking injunctive relief to protect its intellectual property.
20. General
These Terms, together with the DPA, Acceptable Use Policy, SLA, Refund Policy, and License Agreement, are the entire agreement. If a provision is unenforceable, the rest remains in force. Neither party may assign without consent, except in a merger or sale of substantially all assets. Failure to enforce a right is not a waiver.
