License Agreement

This License Agreement describes the rights granted with a Tripistic subscription. It supplements the Terms of Service; where they conflict, the Terms of Service prevail.

1. Software licence

Subject to payment and compliance, Tripistic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence, for the subscription term, to access and use the Service for your internal business purposes — operating your travel business and serving your travellers.

Tripistic is delivered as software as a service. No copy of the software is delivered to you, and no right to possess, host, or install it is granted.

2. Named users and seats

Licences are per named user. A seat may be reassigned when a person leaves, but may not be shared concurrently. Workspace, seat, and usage limits are defined by your plan; exceeding them requires an upgrade.

3. Reserved rights

Tripistic and its licensors retain all right, title, and interest in the Service — software, data models, interfaces, workflows, AI prompt architecture, documentation, and brand assets. Rights not expressly granted are reserved. This licence conveys no ownership.

4. Your content

You retain ownership of Customer Data. You grant Tripistic a limited licence to host, process, transmit, back up, and display it solely to deliver and support the Service, as described in the Privacy Policy and Data Processing Agreement.

5. White-label licence

Agency, Enterprise, and reseller plans that include white label receive an additional licence to:

• Apply your own brand kit — logo, colours, typography, and email identity — to the operator application, customer portal, public booking pages, invoices, and PDF documents.
• Serve the Service from your own verified custom domains.
• Present the platform to your clients under your brand.
• Provision and administer sub-workspaces for your clients where your plan includes multi-tenant administration.

White-label conditions

1. You may present the platform under your brand, but you must not claim to have developed it, nor represent that you own the underlying software.
2. You must not remove or obscure security notices, legal notices, or required consent flows.
3. You must maintain your own privacy notice, terms, and support process for your clients, and you remain their first line of support.
4. You are responsible for your clients' compliance with the Acceptable Use Policy and for the lawful basis of all data loaded into sub-workspaces.
5. Tripistic may reference the existence of a white-label relationship in aggregate, non-identifying form unless your order form says otherwise.
6. The white-label licence terminates with your subscription. On termination you must stop presenting the Service under your brand and cooperate in migrating or exporting sub-workspace data.

6. Reseller licence

Where an order form designates you a reseller, you may resell subscriptions to end customers. You must:

• Sell only under terms at least as protective of Tripistic as the Terms of Service and this Agreement.
• Not make warranties on Tripistic's behalf beyond those we publish.
• Remain liable for fees for all sub-customers you provision.
• Not use another reseller's or customer's data for your own purposes.

7. API and integration licence

Your subscription includes the right to use the REST API, webhooks, and embeddable widgets to integrate the Service with your own systems, subject to published rate limits and the AUP. You may build internal tools and client-facing integrations. You may not use the API to replicate the Service as a competing product, or to systematically extract data beyond your own workspace records.

8. Restrictions

You must not:

• Copy, modify, translate, or create derivative works of the Service.
• Reverse engineer, decompile, or disassemble the Service, except to the extent that right cannot lawfully be excluded, and then only after requesting interoperability information from us.
• Rent, lease, lend, time-share, or provide the Service to third parties outside an authorised white-label or reseller arrangement.
• Remove or alter proprietary notices.
• Use the Service to build a competing product, or to benchmark and publish performance comparisons without our written consent.
• Circumvent licence, seat, quota, or feature-flag enforcement.

9. Third-party and open-source components

The Service includes third-party and open-source components licensed by their respective owners. Those licences govern those components; nothing here restricts rights granted to you under an applicable open-source licence. A component list is available on request.

10. Feedback

Suggestions, feature requests, and roadmap votes you provide may be used by Tripistic without restriction or obligation. This does not transfer any right in your Customer Data or confidential information.

11. Trademarks

"Tripistic" and the Tripistic logo are our trademarks. You may use them factually to state that you use or resell the platform, following any brand guidelines we publish. You may not use them in a way that implies endorsement, or register confusingly similar marks or domains.

12. Term and termination

This licence runs with your subscription and ends when the subscription ends. On termination you must stop using the Service; Customer Data remains exportable for 30 days. Sections on reserved rights, restrictions, trademarks, and feedback survive termination.

13. Audit

Where we have reasonable grounds to believe licence limits are being exceeded, we may review usage telemetry and request confirmation of named-user counts. We will give reasonable notice and will not access Customer Data content for this purpose.
